Pryor Cashman is a law firm seeking an Associate for their Corporate China Practice. The role involves supporting senior attorneys in advising companies with operations in China on various corporate and securities matters. Responsibilities Support senior attorneys in advising public and private companies with operations primarily in China, both domestic and foreign, on a broad range of corporate and securities matters, including securities offerings, Securities and Exchange Commission (SEC) reporting and compliance, mergers and acquisitions (M&A), corporate governance, financings and general corporate matters Work with companies in different industries to complete public offerings or private placements in the United States and ensure they meet SEC regulations and other state and federal legal and regulatory compliance requirements Communicate with investors, regulators, and SROs Conduct legal research; prepare corporate minutes; review and analyze public companies periodic reports to be filed with the SEC; handle international transactions; and perform due diligence Skills Juris Doctor (J.D.) degree or foreign equivalent 6 months of experience in the position offered or related position 6 months of experience with due diligence, drafting and negotiation of agreements relating to public and private securities offerings of U.S. and foreign companies in the U.S. securities markets 6 months of experience working with public companies on their preparation and review of reports required to be filed with the Securities and Exchange Commission 6 months of experience preparing filings with FINRA and major stock exchanges to satisfy regulatory requirements 6 months of experience researching, negotiating, and resolving complex legal issues for U.S. and foreign companies under U.S. laws, including securities and corporate laws 6 months of experience working with clients to manage and advise on their legal issues related to their businesses, especially regarding cross-border transactions 6 months of experience reading, understanding and analyzing financial statements using Excel Admission to both New York Bar and California Bar Company Overview We're an award-winning, midsized law firm that brings BigLaw insights and talent and marries it with collaboration and value beyond the numbers.
